EVENT TICKET TERMS AND CONDITIONS

PLEASE READ THESE TERMS COMPLETELY AND CAREFULLY. THESE TERMS HAVE LEGAL CONSEQUENCES AND AFFECT YOUR LEGAL RIGHTS. THEY INCLUDE AN ASSUMPTION OF RISK, RELEASE OF LIABILITY, LIMITATION OF LIABILITY, AND, IF INCLUDED BELOW, AN AGREEMENT TO ARBITRATE DISPUTES ON AN INDIVIDUAL BASIS, A CLASS ACTION WAIVER, AND A JURY TRIAL WAIVER. IN ARBITRATION, THERE IS LESS DISCOVERY AND APPELLATE REVIEW THAN IN COURT.

These Event Ticket Terms and Conditions (“Terms”) apply to tickets and other credentials for events held at Shell Energy Stadium located at 2200 Texas Avenue, Houston, Texas 77003, regardless of whether such events are produced, promoted, presented, or operated by Dynamo Stadium, LLC.

  • “Management” means Venue and their respective authorized personnel.
  • “Personal Information” means any information, including sensitive data, that is linked or reasonably linkable to an identified or identifiable individual. 2. Agreement to Terms

This ticket is a revocable license that grants Holder a one-time right to enter the Stadium and, if applicable, occupy the seat, standing area, or other location identified on the ticket for the Event, subject to these Terms and all applicable Event terms, Stadium policies, codes of conduct, health and safety requirements, and instructions issued by Management.

By purchasing, accepting, holding, transferring, or using a ticket or credential to enter or attempt to enter the Stadium, Holder acknowledges that Holder has read, understands, and agrees to these Terms, and applicable Stadium policies, each of which is incorporated into these Terms and available at https://www.houstondynamofc.com/shell-energy-stadium/azguide. The purchaser or transferor of a ticket represents and warrants that each person who enters the Stadium through tickets purchased by, issued to, provided to, or held by the purchaser or transferor has authorized said purchaser or transferor to act on their behalf for purposes of agreeing to these Terms. Failure to comply with any of these Terms shall result in forfeiture of this license and all rights arising hereunder without refund and shall entitle Management to pursue all additional legal remedies available to it. Admission may be refused or withdrawn or Holder ejected at the discretion of the Organizer or Management.

If Organizer publishes additional Event terms, those terms govern Organizer's independent activities. If Organizer's terms conflict with these Terms concerning access to or use of the Stadium, safety, security, venue operations, or the rights and protections of the Venue Parties, these Terms control to the fullest extent permitted by applicable law.

3. Independent Third-Party Event Organizer

Organizer is an independent third-party and is responsible for producing, promoting, presenting, and operating the Event (if applicable), including the Event's content, performers, participants, schedule, representations, products, services, and Event-specific obligations. Except as otherwise expressly stated by Venue, Venue is not the producer, promoter, presenter, or operator of any third-party Event and is not responsible for the acts, omissions, statements, promises, products, services, or obligations of Organizer or any performer, participant, sponsor, vendor, or other third-party associated with such third-party Event.

Venue's provision of the Stadium, ticketing technology, box-office services, security, concessions, parking, or other venue services does not create a partnership, joint venture, agency, fiduciary, or employment relationship between Venue and any Organizer.

4. Event Changes and Cancellation

Event dates, times, locations, performers, participants, programs, activities, and other Event elements are subject to change, delay, postponement, relocation, suspension, or cancellation. The Organizer has sole responsibility for decisions concerning any third-party Event's content, schedule, postponement, relocation, resumption, or cancellation.

If an Event is rescheduled, relocated, delayed, postponed, or suspended, the ticket will be honored or handled in accordance with the refund and ticketing policy announced for the Event. Management may determine whether the original ticket permits entry to any rescheduled, relocated, resumed, or replacement event and whether re-entry is permitted.

5. Refunds and Limitation of Liability

ALL TICKET SALES ARE FINAL. NO REFUNDS, CREDITS, OR EXCHANGES WILL BE PROVIDED EXCEPT AS EXPRESSLY STATED IN THE REFUND POLICY APPLICABLE TO THE EVENT OR AS REQUIRED BY APPLICABLE LAW.

Unless Venue is expressly identified as the party responsible for a refund, Organizer or the applicable ticket seller is solely responsible for determining and providing any refund, credit, exchange, or other remedy arising from an Event change, delay, postponement, relocation, suspension, or cancellation. Venue is not responsible for refunding amounts that Venue did not receive or retain.

To the fullest extent permitted by applicable law, Holder's sole and exclusive remedy against any Venue Party arising from denial or revocation of admission or any Event change, delay, postponement, relocation, suspension, or cancellation will not exceed the Face Value of the affected ticket actually paid to and retained by Venue. “Face Value” means the ticket price stated on the ticket, excluding taxes, facility charges, order fees, delivery charges, resale premiums, and other amounts, unless applicable law requires otherwise.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE VENUE PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE, LOSS OF USE, TRAVEL OR LODGING COSTS, OR OTHER AMOUNTS EXCEEDING THE APPLICABLE LIMIT STATED ABOVE, WHETHER ARISING IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Conduct and Removal

Admission is conditioned on compliance with these Terms and all applicable laws, Stadium policies, Event rules, codes of conduct, health and safety requirements, and Management instructions. Management or Organizer, in the case of a third-party Event, may, to the fullest extent permitted by applicable law, refuse admission, revoke admission, relocate a Holder, or remove a Holder without refund if Management or Organizer determines that the Holder:

  • violates or may violate these Terms or an applicable policy, rule, code, or law;
  • presents a safety, security, operational, or disruption risk;
  • engages in disorderly, threatening, abusive, intoxicated, unlawful, or inappropriate conduct;
  • interferes with the Event, other guests, performers, participants, personnel, or Stadium operations;
  • possesses a prohibited item or uses a ticket unlawfully; or
  • refuses to comply with a lawful instruction or required screening procedure.

Management's failure to enforce a term or policy in one instance does not waive its right to enforce that term or policy in another instance.

7. Security Screening and Prohibited Items

Holder and Holder's belongings may be subject to reasonable security screening, inspection, search, credential verification, and other safety procedures as a condition of entry or continued presence at the Stadium. Prohibited items may be denied entry, confiscated, or disposed of in accordance with Stadium policy and applicable law. A Holder who refuses to comply may be denied entry or removed without refund.

Management is not responsible for any prohibited, abandoned, lost, stolen, damaged, or confiscated property, except to the extent responsibility cannot be disclaimed under applicable law.

8. Assumption of Risk

HOLDER VOLUNTARILY ASSUMES ALL RISKS, HAZARDS, AND DANGERS ARISING FROM OR RELATING TO TRAVEL TO OR FROM, ENTRY INTO, ATTENDANCE AT, OR PRESENCE IN OR AROUND THE STADIUM OR EVENT, WHETHER OCCURRING BEFORE, DURING, OR AFTER THE EVENT, INCLUDING RISKS OF PERSONAL INJURY, ILLNESS, DISABILITY, DEATH, OR PROPERTY LOSS OR DAMAGE.

Such risks may include, without limitation, risks arising from crowds, weather, surfaces, structures, equipment, pyrotechnics or special effects, food or beverages, parking or transportation areas, acts or omissions of other attendees or third parties, objects entering spectator or guest areas, and exposure to communicable diseases or other health risks. Holder knowingly and voluntarily accepts personal responsibility for these risks to the fullest extent permitted by applicable law.

9. Release and Waiver of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOLDER, ON BEHALF OF HOLDER AND HOLDER'S HEIRS, REPRESENTATIVES, ESTATE, SUCCESSORS, ASSIGNS, AND RELATED PERSONS, KNOWINGLY, VOLUNTARILY, IRREVOCABLY, AND FOREVER RELEASES, WAIVES, AND DISCHARGES, AND COVENANTS NOT TO SUE, EACH OF THE RELEASED PARTIES FROM ANY CLAIM, DEMAND, SUIT, CAUSE OF ACTION, DAMAGE, LOSS, LIABILITY, COST, OR EXPENSE ARISING FROM OR RELATING TO THE RISKS DESCRIBED IN THESE TERMS OR HOLDER'S TRAVEL TO OR FROM, ENTRY INTO, ATTENDANCE AT, OR PRESENCE IN OR AROUND THE STADIUM OR EVENT, INCLUDING CLAIMS FOR PERSONAL INJURY, ILLNESS, DISABILITY, DEATH, OR PROPERTY LOSS OR DAMAGE, WHETHER KNOWN OR UNKNOWN, FORESEEN OR UNFORESEEN, AND WHETHER ARISING BEFORE, DURING, OR AFTER THE EVENT.

10. Indemnification

To the fullest extent permitted by applicable law, Holder shall defend, indemnify, and hold harmless the Venue Parties from and against all claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising out of or relating to: (i) Holder’s breach of these Terms; (ii) Holder’s negligence, willful misconduct, or violation of applicable law; or (iii) the acts or omissions of Holder or any person using a ticket purchased, held, transferred, or provided by Holder. Holder shall also reimburse the Venue Parties for reasonable costs and attorneys’ fees incurred in enforcing Section 9 or defending any claim asserted by Holder, or on Holder’s behalf, that is subject to the waiver and release in Section 9.

11. Minors and Other Ticket Users

If Holder provides a ticket to a minor or another person, Holder represents that Holder is authorized to provide the ticket and these Terms to that person. A parent or legal guardian accepting these Terms for a minor represents that the parent or guardian has authority to do so and, to the fullest extent permitted by applicable law, accepts these Terms on behalf of the minor and themselves.

IF HOLDER IS ACCEPTING THESE TERMS ON BEHALF OF A MINOR, HOLDER ACKNOWLEDGES THAT THE MINOR’S ATTENDANCE AT OR PARTICIPATION IN THE EVENT MAY INVOLVE INHERENT AND OTHER RISKS, INCLUDING THE RISK OF SERIOUS PERSONAL INJURY, ILLNESS, DEATH, OR PROPERTY DAMAGE, EVEN IF THE RELEASED PARTIES EXERCISE REASONABLE CARE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOLDER KNOWINGLY AND VOLUNTARILY ASSUMES SUCH RISKS ON BEHALF OF THE MINOR AND HOLDER AND AGREES TO THE ASSUMPTION OF RISK, RELEASE, WAIVER, AND OTHER PROVISIONS OF THESE TERMS ON BEHALF OF THE MINOR AND HOLDER. IF HOLDER DOES NOT AGREE, HOLDER MUST NOT PERMIT THE MINOR TO ENTER THE STADIUM OR ATTEND OR PARTICIPATE IN THE EVENT.

12. Recordings Event Content and Publicity Rights

Holder may not, without the prior written consent of Venue or Organizer (if applicable), create, transmit, display, distribute, publish, exploit, license, sell, or otherwise use any description, account, data, photograph, image, video, livestream, audio recording, or other reproduction of the Event for any commercial purpose. Management may prohibit or restrict cameras, recording equipment, streaming, or other devices in accordance with Stadium or Event policy.

To the fullest extent permitted by applicable law, Holder grants Venue, Organizer, and each of their respective affiliates, sponsors, licensees, advertisers, broadcasters, designees, partners, and agents a worldwide, perpetual, irrevocable, sublicensable, transferable, and royalty-free right to photograph, record, use, reproduce, edit, modify, publish, distribute, display, transmit, and otherwise exploit Holder's image, likeness, voice, actions, statements, and appearance captured at or in connection with the Stadium or Event in any medium for security, operational, archival, news, advertising, promotional, commercial, or other lawful purposes, without further notice, authorization, or compensation.

This Section is subject to any rights that cannot be waived under applicable law and any separate written agreement signed by Venue concerning Holder's appearance.

13. Tickets Transfers and Commercial Use

Management is not responsible for and may refuse to honor any duplicate, duplicated, lost, stolen, destroyed, altered, counterfeit, or unlawfully obtained ticket. Any unlawful sale, attempted sale, transfer, or use of a ticket may result in cancellation, seizure, revocation, denial of entry, or removal without refund.

A ticket may not be used in connection with advertising, promotions, contests, sweepstakes, giveaways, gambling, gaming, sponsorship, hospitality packages, or other commercial activities without the prior written approval of Venue or Organizer (if applicable). Any approved transfer remains subject to these Terms.

14. Health and Safety Requirements

Admission and continued presence at the Stadium are subject to health, safety, security, and operational requirements established by Venue, Organizer, governmental authorities, or other parties having jurisdiction. Such requirements may be adopted or updated before or during the Event and may be communicated through websites, ticketing pages, email, signage, announcements, or instructions from authorized personnel. Holder agrees to comply with all such requirements.

15. Privacy

Venue's collection and use of Personal Information are governed by its Privacy Policy, available at https://www.houstondynamofc.com/privacypolicy. The collection and use of Personal Information by Organizer Parties are governed by their separate and respective privacy policies. Venue does not control and is not responsible for any Organizer's independent privacy practices, except as otherwise required by applicable law.

16. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas without reference to its conflicts of law provision.  Any controversy or claim arising out of or relating to these Terms, including disputes relating to its formation, or the breach thereof, will be settled by arbitration in Houston, Texas, at a time and location designated by the arbitrator, but not exceeding 90 days after a demand for arbitration has been made.  Arbitration will be administered by the American Arbitration Association in accordance with its Rules of Commercial Arbitration (the “AAA Rules”) before a single arbitrator that is mutually selected by the parties or, if the parties cannot agree on a single arbitrator within five (5) business days of any party invoking arbitration, by the AAA Rules. The award rendered by the arbitrator shall be final and binding and judgment may be entered in any court having jurisdiction thereof. The parties shall share equally in all costs assessed by the arbitrator for administration as well as the arbitrator’s fees and expenses from the initiation of the arbitration through a final award, subject to the arbitrator’s authority to allocate the same upon a final award in accordance with the law controlling the dispute at issue. The prevailing party shall have the right to recover its costs, including both taxable costs and expenses, reasonable and necessary attorneys’ fees, and arbitration fees and expenses.

17. Severability

If any provision of these Terms is held illegal, invalid, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable or, if modification is not possible, severed. The remaining provisions will remain in full force and effect.

18. Changes and Additional Terms

Management may update these Terms and applicable Stadium policies from time to time. The version made available when the ticket is purchased will apply to the purchase, and any later operational, health, safety, or security requirements communicated before or during the Event will apply to admission and attendance to the extent permitted by applicable law.

Event-specific terms may supplement these Terms. No Event-specific term may waive, limit, or modify the rights or protections of a Venue Party unless Venue expressly agrees in an instrument signed by an authorized Venue representative.
